Terms of Service

These Terms of Service (the 'Terms') govern the access to and use of the Follicare software-as-a-service solution (the 'Solution') by business customers acting in a professional capacity (the 'Client').

1. Purpose

The purpose of these Terms is to define the conditions under which Follicare provides the Client with access to its SaaS platform designed to support pre-operative and post-operative patient follow-up in the context of hair transplant procedures.

2. Description of the Services

Follicare provides a software solution composed of (i) an administration application dedicated to the Client and (ii) a patient-facing application. The Solution enables the management and monitoring of patients throughout their pre-operative and post-operative journey, including the delivery of personalized and interactive instructions, a guided recovery timeline, a customizable knowledge base, photo collection and follow-up, and the creation of tailored follow-up summaries.

Depending on the subscription plan selected by the Client, the Solution may also include patient, practice and user account management, access to support via email, chat and phone, promotion of ancillary services and products, branding customization, and priority access to the product roadmap. The available features, usage conditions and any applicable limitations are determined by the subscription plan and may evolve in accordance with these Terms.

3. Access and Use

Access to the Solution is subject to the creation of a Client account, acceptance of these Terms, and payment of the applicable subscription fees. Login credentials are personal and confidential. The Client is responsible for all activities carried out through its account.

4. Subscription and Fees

The Solution is provided on a subscription basis. Pricing, billing frequency and payment terms are defined at the time of subscription. Unless otherwise stated, subscriptions are renewed automatically for successive periods.

5. Data Protection

The Solution may process personal and professional data provided by the Client (such as names, emails, and account information) solely for the purpose of providing and operating the Solution. The Client remains responsible for the accuracy and lawfulness of the data submitted. Follicare acts as a processor for the operation of the platform and implements appropriate measures to protect the security and confidentiality of all data.

6. Medical Disclaimer

The Client acknowledges that the Solution is a software tool intended to support administrative and informational patient follow-up and does not constitute a medical device. The Solution does not replace medical judgment, diagnosis or decision-making, which remain under the sole responsibility of the Client.

7. Intellectual Property

The Solution, including all software, content, designs and trademarks, remains the exclusive property of Follicare. No intellectual property rights are transferred to the Client under these Terms.

8. Liability

Follicare shall not be liable for any misuse of the Solution, medical decisions taken by the Client, or interruptions caused by external events or force majeure. Follicare's total liability shall in any event be limited to the amounts paid by the Client during the twelve (12) months preceding the event giving rise to liability.

9. Termination

The Client may cancel the subscription at any time with 90 days' notice. Follicare may suspend or terminate access immediately in the event of a material breach that is not remedied within 90 days following written notice.

10. Governing Law

These Terms are governed by French law. Any dispute arising from their interpretation or execution shall fall under the exclusive jurisdiction of the courts of the registered office of Follicare.
